Welcome to cloud-licenses.com. These Terms and Conditions (“Terms”) govern your use of the website and the purchase of Microsoft cloud products and licenses from Cloud Licenses, LLC (“the Company,” “we,” “us,” or “our”).
By accessing our Site or purchasing our products, you agree to be bound by these Terms. If you do not agree to all of these Terms, you are prohibited from using the Site or purchasing any services.
1. SERVICES AND LICENSE PROVISIONING
Cloud Licenses, LLC operates as an authorized reseller of Microsoft cloud products. We provide a platform for individuals and businesses to:

Purchase Microsoft cloud licenses (e.g., Microsoft 365, Azure, Dynamics 365).

Manage existing subscriptions and license allocations.

Access support for activation and deployment.
All licenses are subject to the Microsoft Customer Agreement (MCA). By purchasing from us, you agree to comply with Microsoft’s end-user terms and service-level agreements.
2. ELIGIBILITY AND ACCOUNT SECURITY
To use our services, you must be at least 18 years of age or the age of legal majority in your jurisdiction.

Account Responsibility: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Security Requirements: In accordance with modern security standards, we may require Multi-Factor Authentication (MFA) for account access. You agree to provide accurate and complete information during registration and to update it as necessary.
3. PAYMENTS AND BILLING

Pricing: All prices are listed in U.S. Dollars unless otherwise specified. We reserve the right to change prices at any time due to Microsoft price adjustments or market conditions.

Billing Cycles: Subscriptions are billed on a recurring basis (monthly or annually) as selected at the time of purchase.

Payment Failure: Failure to settle outstanding balances may result in the immediate suspension or termination of your Microsoft cloud licenses.
4. NO REFUNDS AND NO RETURNS POLICY
All sales are final. Due to the digital nature of cloud licenses and the immediate activation of services via the Microsoft Partner ecosystem:

No Refunds: We do not offer refunds, pro-rated credits, or exchanges for any reason, including “change of mind,” “accidental purchase,” or “unsupported hardware.”

No Returns: Once a license is provisioned to a Microsoft Tenant ID, it is considered consumed and cannot be returned.

Commitment Term: You are responsible for the full payment of the subscription term selected (e.g., an annual commitment must be paid in full even if use of the software ceases mid-term).
5. CANCELLATIONS
You may cancel the auto-renewal of your subscription at any time through your management dashboard.

Cancellation stops the future billing cycle.

You will continue to have access to the cloud products until the end of your current paid billing period.

No refunds will be issued for the remaining days in a billing cycle.
6. INTELLECTUAL PROPERTY
The Site and its original content, features, and functionality are owned by Cloud Licenses, LLC and are protected by international copyright, trademark, and other intellectual property laws. “Microsoft,” “Office 365,” and “Azure” are trademarks of the Microsoft group of companies and are used here for descriptive purposes only.
7. LIMITATION OF LIABILITY
To the maximum extent permitted by law, Cloud Licenses, LLC shall not be liable for any indirect, incidental, special, or consequential damages resulting from:

The use or inability to use Microsoft cloud services.

Service interruptions or data loss caused by Microsoft or third-party infrastructure.

Unauthorized access to your tenant resulting from your failure to secure account credentials.
8. MODIFICATIONS TO TERMS
We reserve the right to modify these Terms at any time. We will notify users of significant changes by posting a notice on our Site or via email. Your continued use of the Site after such changes constitutes your acceptance of the new Terms.
9. GOVERNING LAW
These Terms shall be governed and construed in accordance with the laws of the State in which Cloud Licenses, LLC is registered, without regard to its conflict of law provisions.
